Terms of Service

These Terms of Service govern your access to and use of the KeywordShop website, application, and related services.

By creating an account, purchasing credits or a subscription, submitting a campaign project, or otherwise using KeywordShop, you agree to these Terms of Service and our Privacy Policy.

If you do not agree to these Terms, do not use KeywordShop.

1. About KeywordShop

In these Terms:

  • “KeywordShop,” “we,” “us,” and “our” refer to KeywordShop FlexCo i.G.
  • “Customer,” “you,” and “your” refer to the individual or organisation using KeywordShop.
  • “Service” means the KeywordShop website, application, campaign-generation tools, exports, and related functionality.
  • “Campaign Package” means the campaign materials generated through KeywordShop.
  • “Credit” means a unit that can be used to generate a Campaign Package.
  • “Customer Inputs” means the information and materials submitted to the Service by or on behalf of a Customer.

2. Business Use Only

KeywordShop is intended exclusively for businesses, agencies, freelancers, consultants, and other professional users acting for purposes related to their trade, business, craft, or profession.

By using KeywordShop, you confirm that:

  • you are at least 18 years old;
  • you have the legal capacity to enter into a binding agreement;
  • you are using the Service for business or professional purposes;
  • you are not acting as a consumer; and
  • if you use KeywordShop on behalf of an organisation or client, you have authority to bind or represent that organisation in connection with the Service.

KeywordShop is not offered for personal or household use.

3. Description of the Service

KeywordShop helps users prepare Google Search advertising campaign drafts.

The Service generally works as follows:

  • You submit a website address.
  • You provide information about the business, offer, audience, locations, language, goals, and campaign requirements.
  • KeywordShop analyses the submitted information and publicly accessible website content.
  • KeywordShop generates a Campaign Package.
  • You review and edit the generated materials.
  • You export the Campaign Package for use with Google Ads Editor.

A Campaign Package may include:

  • campaign and ad-group structures;
  • keywords and match types;
  • negative-keyword recommendations;
  • Responsive Search Ad drafts;
  • headlines and descriptions;
  • assets and extensions;
  • destination URLs;
  • implementation notes or warnings;
  • files formatted for import into Google Ads Editor.

The precise content and format of a Campaign Package may depend on the selected product, submitted information, technical availability, and current version of the Service.

4. What KeywordShop Does Not Do

Unless expressly stated otherwise for a specific feature, KeywordShop does not:

  • connect directly to your Google Ads account;
  • publish or activate advertising campaigns;
  • purchase advertising on your behalf;
  • set or spend your advertising budget;
  • manage bids or bidding strategies;
  • configure conversion tracking;
  • monitor live campaigns;
  • review search-term reports after launch;
  • optimise campaigns after import;
  • guarantee Google approval;
  • prevent account restrictions or suspension;
  • provide legal, regulatory, tax, financial, or professional compliance advice.

You remain responsible for importing, configuring, reviewing, publishing, monitoring, and managing your campaigns.

5. Accounts

You may need an account to access some or all parts of the Service.

You agree to provide accurate and current information when creating and maintaining your account.

You are responsible for:

  • keeping your login credentials confidential;
  • maintaining control over the email address connected to your account;
  • activity carried out through your account;
  • ensuring that authorised team members comply with these Terms;
  • notifying us promptly if you suspect unauthorised access.

You must not share an individual account in a way that bypasses applicable user, workspace, or plan limits.

We may require you to verify your identity, email address, organisation, or authority to use a submitted website or project.

6. Customer Inputs

You retain your rights in the information and materials you submit to KeywordShop.

Customer Inputs may include:

  • website addresses;
  • website content;
  • business and product information;
  • offers and prices;
  • target locations and languages;
  • audience information;
  • campaign goals;
  • exclusions and instructions;
  • competitor information;
  • landing pages;
  • uploaded materials;
  • edits, comments, and feedback.

You confirm that:

  • the Customer Inputs are accurate to the best of your knowledge;
  • you have the right and authority to submit and use them;
  • their use through KeywordShop does not infringe third-party rights;
  • they do not contain unlawful or malicious material;
  • they do not include unnecessary personal or confidential information;
  • where you act for a client, the client has authorised you to use the relevant information.

You grant us a limited, non-exclusive right to host, copy, analyse, transform, and otherwise process the Customer Inputs only as reasonably necessary to operate, secure, maintain, and provide the Service in accordance with these Terms and the Privacy Policy.

7. Website Analysis

When you submit a website address, you authorise KeywordShop and its technical providers to retrieve and analyse publicly accessible content from that website for the requested campaign project.

You must not submit:

  • a website you are not authorised to use;
  • private or restricted systems;
  • websites containing malware or harmful code;
  • websites intended to conceal their true content;
  • unauthorised redirects or cloaked pages;
  • content intended to evade advertising-platform policies;
  • third-party confidential information without permission.

Website content may be incomplete, outdated, technically inaccessible, or incorrectly interpreted. You are responsible for reviewing whether the generated Campaign Package accurately reflects the submitted business and offer.

8. AI-Generated Output

KeywordShop uses artificial intelligence and automated systems, including Claude models provided through the Anthropic API, to create Campaign Packages.

Generated output may:

  • contain factual errors;
  • misunderstand the submitted website or instructions;
  • omit relevant information;
  • include unsuitable keywords;
  • suggest inappropriate exclusions;
  • produce duplicated or generic wording;
  • contain claims that require evidence or qualification;
  • fail to reflect current law or advertising-platform policy;
  • be similar to output generated for other customers.

Campaign Packages are drafts intended for human review. They are not final professional recommendations.

You must independently review and approve all generated materials before importing, publishing, or relying on them.

In particular, you are responsible for verifying:

  • business facts;
  • prices, offers, discounts, and availability;
  • legal and regulated claims;
  • licences, certifications, and qualifications;
  • trademarks and third-party rights;
  • landing-page accuracy;
  • location and language settings;
  • keyword relevance;
  • negative-keyword exclusions;
  • budgets and bidding;
  • tracking and conversion settings;
  • compliance with Google Ads policies;
  • compliance with applicable advertising and consumer law.

9. No Professional Advice

KeywordShop provides software-generated campaign materials and workflow assistance.

The Service does not provide:

  • legal advice;
  • compliance approval;
  • financial advice;
  • tax advice;
  • medical or healthcare advice;
  • regulatory advice;
  • guaranteed advertising-policy clearance;
  • a substitute for review by a qualified PPC professional where professional review is appropriate.

Information, warnings, and validations presented through KeywordShop may be incomplete and must not be treated as confirmation that a campaign is lawful, compliant, complete, or suitable.

10. Google Services

KeywordShop is an independent service and is not affiliated with, endorsed by, or sponsored by Google LLC.

Google Ads, Google Ads Editor, and related names are products or trademarks of Google LLC.

Your use of Google products is governed by Google’s own terms, policies, technical requirements, and decisions.

Google may reject, limit, suspend, remove, or modify advertisements, keywords, destinations, campaigns, or accounts. KeywordShop does not control Google’s review, auction, enforcement, billing, or account systems.

Changes made by Google to its products, file formats, policies, or technical requirements may affect the availability or compatibility of KeywordShop exports.

11. Credits

KeywordShop may provide access through individually purchased Credits, subscription Credits, promotional Credits, or another allowance stated on the relevant pricing or checkout page.

Unless stated otherwise at the time of purchase:

  • one Credit is used for one complete initial Campaign Package;
  • a Credit is associated with one submitted website, offer, language, and target-market setup;
  • a new website, materially different offer, additional language, or substantially different market may require another Credit;
  • a Credit is consumed when a usable initial Campaign Package has been generated;
  • manual edits made after generation do not automatically create a new Credit;
  • Credits have no cash value and cannot be exchanged for money.

A Credit should not be consumed, or should be restored, where:

  • the generation does not begin;
  • a KeywordShop system error prevents delivery;
  • an external provider failure prevents any usable Campaign Package from being produced;
  • the same project or payment is processed twice because of a technical error.

A result is not considered technically failed merely because you dislike the wording, strategy, structure, or recommendations, provided that a materially usable Campaign Package was produced.

We may investigate failed-generation and Credit-restoration requests to prevent misuse.

Credit expiry

Purchased Credits currently do not expire unless a different validity period is clearly displayed before purchase.

Promotional or subscription Credits may be subject to separate expiry, renewal, or rollover rules displayed when they are issued.

We may introduce or change Credit-expiry rules for future purchases, but such changes will not retroactively shorten the validity of already purchased Credits unless required by law or agreed with you.

12. Regeneration and Project Changes

KeywordShop may allow you to edit generated materials or regenerate parts of a Campaign Package.

The included regeneration scope will be stated in the Service or on the applicable product page.

A new Credit may be required where you request a substantial change, including:

  • a different business or website;
  • a materially different product or service;
  • a new campaign language;
  • a new country or market;
  • a substantially different target audience;
  • a new campaign objective;
  • a complete rebuild based on replacement instructions.

Correction of a technical export error does not normally require a new Credit.

13. Prices and Payments

Prices, included Credits, billing intervals, currencies, and applicable taxes are displayed before purchase.

Checkout and payments are expected to be provided through Lemon Squeezy, which acts as the merchant of record for transactions completed through its checkout.

This means that Lemon Squeezy may:

  • process payments;
  • calculate and collect applicable sales taxes or VAT;
  • issue invoices or receipts;
  • administer payment authentication;
  • manage chargebacks;
  • process approved refunds;
  • provide a customer billing portal.

Purchases made through Lemon Squeezy are also subject to the terms and policies presented by Lemon Squeezy during checkout.

KeywordShop receives the purchase information required to activate Credits, subscriptions, or access to the Service.

You are responsible for providing accurate billing and tax information.

14. Subscriptions

Where KeywordShop offers a subscription, the subscription renews automatically at the billing interval shown before purchase until it is cancelled.

You authorise Lemon Squeezy or the applicable payment provider to charge the recurring price and taxes using the selected payment method.

You may cancel a subscription through the billing portal or another cancellation method communicated to you.

Unless otherwise stated:

  • cancellation prevents the next renewal;
  • access continues until the end of the current paid billing period;
  • cancellation does not automatically refund the current billing period;
  • unused subscription Credits expire at the end of the applicable billing period and do not roll over;
  • additional Credits may be purchased separately where offered.

Any different rollover, downgrade, upgrade, or cancellation rules will be displayed on the applicable plan page.

We will provide legally required notice of material price or subscription changes before they take effect.

15. Refunds

Duplicate payments

If you are charged more than once for the same purchase because of a technical or payment-processing error, contact us. Once confirmed, the duplicate transaction will be refunded or otherwise corrected.

Failed generation

If a Credit is consumed but no materially usable Campaign Package is produced because of a verified KeywordShop or provider failure, we will normally restore the Credit.

Where restoring the Credit does not reasonably resolve the issue, we may approve a refund for the affected purchase.

Unused purchased Credits

Requests for refunds of unused individually purchased Credits may be submitted within 14 days of purchase.

Approval remains subject to confirmation that:

  • the Credit has not been used or reserved;
  • generation has not started;
  • the request does not involve suspected misuse, fraud, or chargeback abuse.

Used Credits

A Credit is generally non-refundable once generation has started or a materially usable Campaign Package has been produced.

Dissatisfaction with creative wording, recommended structure, keyword choices, or expected advertising performance does not by itself create a right to a refund.

Subscriptions

Subscription charges are generally non-refundable once a new billing period has started.

Cancelling a subscription normally prevents the next renewal but does not produce a prorated refund for the remaining part of the current period.

Payment-provider decisions

Refunds may be processed through Lemon Squeezy and remain subject to its payment, fraud, and chargeback procedures.

Nothing in this section limits rights that cannot legally be excluded.

16. Chargebacks

Before initiating a chargeback, you should contact us at hello@keyword-shop.com so that we have a reasonable opportunity to investigate and resolve the issue.

We may suspend an account while a payment dispute or chargeback is investigated.

Fraudulent, abusive, or knowingly false chargebacks may result in account termination and recovery of reasonable costs where permitted by law.

17. Acceptable Use

You must not use KeywordShop to:

  • violate applicable law;
  • violate Google Ads rules or another platform’s policies;
  • create false, misleading, deceptive, discriminatory, or unlawful advertising;
  • promote prohibited goods or services;
  • promote restricted goods or services without required permissions or disclosures;
  • infringe copyright, trademark, privacy, publicity, or other third-party rights;
  • impersonate another person or business;
  • submit websites or information without authority;
  • distribute malware or harmful code;
  • engage in phishing, fraud, or unauthorised data collection;
  • facilitate cloaking, policy evasion, or account circumvention;
  • generate or promote unlawful surveillance;
  • interfere with the security or availability of the Service;
  • probe or test vulnerabilities without permission;
  • bypass Credits, billing, account, rate, or technical limits;
  • reverse engineer the Service except where mandatory law permits it;
  • scrape or systematically extract the Service, interface, or internal data;
  • resell access to KeywordShop except through an authorised plan or agreement;
  • use automated means that place an unreasonable burden on the Service.

We may investigate suspected misuse and suspend or restrict access where reasonably necessary.

18. Intellectual Property

KeywordShop and its underlying software, interface, workflows, designs, branding, templates, validation methods, databases, and documentation are owned by or licensed to us.

These Terms do not transfer ownership of the Service or its underlying technology to you.

You may not copy, reproduce, distribute, modify, sell, license, or create derivative works from the Service except as expressly permitted.

Rights to Campaign Packages

Subject to payment of the applicable fees and compliance with these Terms, you may use, edit, reproduce, import, and publish the generated Campaign Package:

  • for your own business; or
  • for the client project for which you were authorised to create it.

This permission does not grant you ownership of:

  • KeywordShop software;
  • internal prompts or generation logic;
  • reusable system templates;
  • validation systems;
  • proprietary workflows;
  • general methods or know-how;
  • third-party materials or trademarks.

Because Campaign Packages are created using automated systems and common advertising concepts, we do not guarantee that output will be unique or eligible for copyright, trademark, or other exclusive protection.

19. Feedback

If you voluntarily provide suggestions, ideas, comments, or product feedback, you grant us the right to use that feedback to develop and improve KeywordShop without payment or restriction.

This does not give us ownership of your confidential business information or Campaign Packages.

20. Confidentiality

Each party should protect confidential information received from the other party and use it only for the purpose for which it was provided.

Confidential information does not include information that:

  • is publicly available without breach of these Terms;
  • was already lawfully known to the receiving party;
  • is independently developed without using the confidential information;
  • is lawfully obtained from another source;
  • must be disclosed by law or a competent authority.

You should not submit trade secrets or highly sensitive client information unless it is genuinely required and appropriately authorised.

21. Privacy and Data Protection

We process personal data as described in our Privacy Policy.

Where KeywordShop processes personal data solely on behalf of a business customer, the parties may need to enter into a separate Data Processing Agreement.

You remain responsible for determining whether you have a lawful basis to submit personal data relating to your employees, customers, clients, leads, or other individuals.

22. Third-Party Services

KeywordShop relies on third-party services, including:

  • Vercel for hosting and delivery;
  • Supabase for database, authentication, storage, and backend services;
  • Anthropic for AI processing through the Anthropic API;
  • Lemon Squeezy for checkout, payments, tax handling, subscriptions, billing, and merchant-of-record services; and
  • other technical, email, analytics, or security providers used to operate and protect the Service.

Third-party services may be governed by separate terms and privacy policies.

To the extent permitted by law, we are not responsible for third-party services. Their outages, limitations, policy changes, or technical changes may affect KeywordShop.

23. Availability and Maintenance

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free availability.

We may temporarily restrict or suspend access for:

  • maintenance;
  • updates;
  • security incidents;
  • provider outages;
  • technical failures;
  • legal or regulatory reasons;
  • suspected misuse;
  • circumstances outside our reasonable control.

We may change, add, remove, or discontinue features as KeywordShop develops.

Where reasonably possible, we will avoid changes that materially prevent customers from using already purchased Credits without providing an appropriate alternative, extension, restoration, or refund.

24. No Guarantee of Advertising Results

KeywordShop does not guarantee:

  • campaign approval;
  • account approval or continued account access;
  • impressions, clicks, leads, or sales;
  • click-through rate;
  • conversion rate;
  • cost per click;
  • cost per acquisition;
  • Quality Score;
  • return on advertising spend;
  • revenue or profitability;
  • complete policy compliance;
  • detection of every legal, trademark, security, or destination issue.

Campaign performance depends on factors outside KeywordShop’s control, including:

  • market demand;
  • offer quality;
  • landing-page quality;
  • pricing;
  • competition;
  • advertising budget;
  • bidding settings;
  • targeting;
  • tracking configuration;
  • account history;
  • auction conditions;
  • Google systems;
  • campaign monitoring and optimisation after launch.

25. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided on an “as available” basis.

We do not warrant that:

  • the Service will always be available;
  • every error will be corrected;
  • Campaign Packages will be complete or error-free;
  • generated output will be suitable for every business;
  • exports will remain compatible with all future Google formats;
  • KeywordShop will identify every relevant policy or compliance issue;
  • use of the Service will produce a particular business result.

Nothing in these Terms excludes warranties or remedies that cannot legally be excluded.

26. Liability

Nothing in these Terms excludes or limits liability for:

  • intentional misconduct;
  • gross negligence;
  • death or personal injury caused by fault;
  • liability that cannot be excluded or limited under applicable law.

Subject to the above, we are not liable for indirect, incidental, consequential, or purely economic losses, including:

  • lost profits;
  • lost revenue;
  • lost business opportunities;
  • lost data where appropriate backups were reasonably available;
  • wasted advertising spend;
  • campaign rejection;
  • Google Ads account restriction or suspension;
  • reputational damage;
  • losses caused by publishing unreviewed generated materials;
  • losses caused by incorrect budgets, bids, tracking, targeting, or account configuration.

For ordinary negligence, we are liable only for breach of a material contractual obligation whose performance is necessary for the proper provision of the Service and on which you could reasonably rely. In that case, liability is limited to foreseeable and typical loss.

To the maximum extent permitted by law, our total aggregate liability arising from the affected purchase, Campaign Package, or subscription is limited to the amount you paid to KeywordShop for the affected purchase or during the three months immediately preceding the event giving rise to the claim, whichever is greater.

These limitations apply regardless of the legal basis of the claim, but only to the extent permitted by applicable law.

27. Your Responsibility for Claims

You are responsible for claims, losses, or costs resulting from:

  • Customer Inputs you had no right to submit;
  • your unlawful use of the Service;
  • advertisements or claims you publish without proper review;
  • infringement of third-party rights through your submitted materials;
  • use of KeywordShop for a client without authorisation;
  • intentional attempts to evade platform rules or legal requirements.

To the extent permitted by law, you agree to compensate us for reasonable losses and defence costs arising directly from such conduct.

We will notify you of a relevant third-party claim and allow reasonable participation in the defence where appropriate.

28. Suspension and Termination

You may stop using KeywordShop at any time.

We may suspend or terminate your access where:

  • you materially breach these Terms;
  • payment remains overdue;
  • a chargeback or payment dispute is unresolved;
  • your use creates a security, legal, or reputational risk;
  • you use KeywordShop for fraud, abuse, or policy evasion;
  • suspension is required by a provider, payment partner, or authority;
  • continued provision becomes unlawful or technically impossible.

Where the issue can reasonably be corrected, we may provide an opportunity to remedy it before termination.

We may suspend access immediately where necessary to protect users, third parties, the Service, or our legal rights.

Termination does not affect rights or obligations that arose before termination.

Sections concerning payments, intellectual property, confidentiality, liability, dispute resolution, and other provisions intended to survive will remain effective after termination.

29. Changes to These Terms

We may update these Terms where necessary to reflect:

  • product changes;
  • new functionality;
  • provider changes;
  • security requirements;
  • payment or pricing changes;
  • legal or regulatory developments;
  • changes to our business structure.

The updated version will show a new revision date.

Material changes affecting an active subscription will be communicated in advance where reasonably possible or legally required.

Changes will not retroactively alter the terms of a completed one-time purchase unless required by law or agreed with you.

Continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms.

30. Transfer and Incorporation

KeywordShop FlexCo i.G. is a company in formation.

Upon completion of the incorporation and registration process, these Terms, customer accounts, and related rights and obligations may continue with or be assumed by the registered KeywordShop FlexCo or another lawful successor operating the Service.

We may also transfer these Terms and related rights and obligations as part of a reorganisation, financing, merger, acquisition, asset sale, or transfer of the KeywordShop business.

Any transfer involving personal data will be handled in accordance with the Privacy Policy and applicable data-protection law.

You may not transfer your account or rights under these Terms without our prior written approval.

31. Governing Law and Jurisdiction

These Terms are governed by Austrian law, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods.

The courts with subject-matter jurisdiction for Vienna, Austria, shall have exclusive jurisdiction over disputes arising from these Terms, to the extent that such an agreement is legally permitted.

Before starting formal proceedings, the parties should attempt in good faith to resolve the dispute by contacting:

32. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain effective.

Failure to enforce a provision does not constitute a waiver of that provision.

These Terms, together with the Privacy Policy and any plan-specific or checkout terms expressly incorporated into them, form the agreement governing your use of KeywordShop.

If there is a conflict between these Terms and specific written order terms agreed directly with you, the specific order terms prevail for that purchase.
